Pennzoil Co., the Houston oil company that owns an 82.4 percent share of Jiffy Lube International Inc., is offering to buy the remaining 1.53 million shares at $6 each, for a total of $9.2 million.Jiffy Lube yesterday closed at $4.50 a share, down 50 cents. Pennzoil's offer was announced after the market closed.The action would complete the takeover of the former Baltimore company, which Pennzoil rescued from a sea of red ink in late 1989. At that time, Pennzoil bought 80 percent of Jiffy Lube for $35 million.

A freshman Maryland men's lacrosse player was arrested and charged with sexually assaulting a sleeping woman at a Zac Brown Band concert in Virginia on Sunday, police said. Benjamin Chisolm, 19, of Davidsonville, is accused of molesting a 49-year-old woman who had fallen asleep in the lawn area during the concert at Jiffy Lube Live pavilion in Bristow, Va. The woman told police she awoke around 8:30 p.m. to find an unknown man, later identified as Chisolm, lying beside her and touching her inappropriately.

Shedding the last vestiges of its corporate ties to Maryland, Jiffy Lube International Inc.'s parent company has sold the oil and automobile service company's former headquarters in the city's Seton Business Park.The 80,000-square-foot office building, completed in 1988 at a cost of $10.5 million, was purchased by DuPont Financial for $5.5 million, with financing provided by Nomura Asset Capital Corp. DuPont Financial is an investment firm owned by Jay L. Denburg, a certified public accountant and managing director of accounting firm Denburg & Low, P.A.The building at 6000 Metro Drive is fully leased to the Baltimore Visiting Nurses Association, Sprint Communications, Chesapeake Biological Laboratories and American General Insurance.

" But Franti hadn't collaborated with writers from outside his band until he began working on his new album, "All People," which will be released July 30. Before his show Friday at Jiffy Lube Live, Franti talked about how current events influence his writing, and his household sayings. You're touring with Train this summer. How did that come about? Can the man who ran Jiffy Lube run a school for the state's toughest juvenile offenders?That's a question two special committees will wrangle with starting today, now that they have the bids from private contractors who want to run the Charles H. Hickey Jr. School.At least 35 private concerns expressed interest in the state's request for proposals, but only a few bids were expected. Juvenile Services officials will not comment on how may bids were received or who submitted them.Possible contenders include non-profit agencies such as Northeastern Family Institute of Danvers, Mass.

W. James Hindman, a former college football coach and the founder of the Jiffy Lube chain, is about to go public with his latest venture: an Owings Mills company that runs facilities for troubled youths, including the Charles H. Hickey Jr. School in Baltimore County.The company, Youth Services International Inc., will try to sell up to $18 million of stock to the public sometime next year, according to a registration statement filed with the Securities and Exchange Commission.The 3-year-old company plans to sell nearly 1.5 million shares of stock, at a maximum price of $12 a share, according to the statement.

Howard County police said the Jiffy Lube in Owen Brown village was robbed last week.About 5: 45 p.m. Thursday, a man walked into the oil-change shop in the 6400 block of Dobbin Center Way and demanded money, a report said.Employees told police that the man kept his hand in his coat pocket during the robbery but displayed no weapon.Police said the man took an undisclosed sum of money and fled on foot.The man is identified as black, of medium complexion, 6 feet tall and weighing 170 to 180 pounds.

The merger of Owings Mills-based Avatech Solutions Inc. with a Colorado firm has brought to Maryland another public company and lured the founder of Jiffy Lube back into business, the local software company said yesterday. With the completion of its merger with publicly held PlanetCAD Inc. of Boulder, Colo., Avatech gained as its chairman W. James Hindman. The founder of Jiffy Lube and Youth Services International Inc., Hindman is a co-founder and former board member at Avatech. "This means a tremendously expanded opportunity," Hindman said.

A city police officer who apparently interrupted a robbery in Northwest Baltimore traded shots with one would-be holdup man, but no one was reported wounded and two men escaped, officials said yesterday. Three officers responded to a 911 call minutes before midnight Monday for an assault in progress in the parking lot of a Jiffy Lube in the 5600 block of Nome Ave. in Pimlico. They saw two men confronting an employee of a nearby McDonald's outlet, police said. The pair ran behind the Jiffy Lube and emerged in a small car, driving in reverse and "in an erratic matter toward an officer," said police spokeswoman Ragina C. Averella.

For Tim McGraw, the process of selecting songs for an album and picking movie scripts is no different. He must respond to the material on a basic emotional level. "I have to take an intellectual cap off and wait to be hit viscerally," McGraw, the 46-year-old country star and actor, said from the road recently. "You have to be moved. Whether it's funny, sad, tragic or even mean - something's got to prickle the hairs on the back of your neck. " Although McGraw - who headlines Jiffy Lube Live in Bristow, Va., on Saturday - has sold more than 40 million albums and won three Grammy Awards, he says he's only now figuring out how to craft the music he wants to create.

Kiss and Motley Crue performed at Jiffy Lube Live on Friday night. Midnight Sun contributor Jay Trucker was there. Thirty years after they first toured together, Kiss and Motley Crue are back out on the road, opening their 2012 summer tour on an intermittently stormy night in Bristow. But if Crue is officially the opening act on this tour, their bigger stage show, equal-lengthed setlist and more frenzied audience suggests otherwise.  Motley Crue's stage show is a spectacle.

Aerosmith is going on tour again this summer. The Global Warming tour, which was announced Monday, is the band's first North American trek in two years. Jiffy Lube Live is getting the show July 3. Cheap Trick is opening.  Unlike their contemporaries Van Halen, the band doesn't have a new album to plug. In fact, they haven't released new studio material in eight years, since "Honkin on Bobo. " While they've stayed on the road, they've mainly played South America and Europe in the course of the last two years.

Dave Matthews Band will perform at Jiffy Lube Live this summer, it was announced Wednesday morning. It's the first summer tour for Matthews since 2010. He's set to perform in Bristow June 16. He'll be promoting a new album that'll be released sometime this year, a follow-up to 2009's "Big Whiskey and the GrooGrux King. " Tickets go on sale March 9; price is not yet available. Gary Clark Jr., who performed in Baltimore in December, is opening.

Because of the success of the Backstreet Boys - New Kids on the Block double tour , some of the members are now going on tour on their own. Thanks everyone who paid for that! Nick Carter is at Rams Head Live Friday, and his 80s counterpart Jordan Knightwill be at the Fillmore Silver Spring March 25. The concert was one of several the venue announced recently, including Guns N' Roses . Knight is touring in support of new album "Unfinished. " Tickets, at $35, are already on sale.

Jiffy Lube Live banned tailgating last spring over concern about endless tailgates and excessive drinking at its massive parking lot, Ambassadors. Fans were aghast, creating a handful of "Boycott Jiffy Lube" Facebook groups and online petitions. On Thursday, the venue, run by Live Nation, announced it would bring tailgating back starting with the new concert season under a new set of rules and increased supervision from police and staff. The Bristow, Va.-based venue describes the return of the tailgates not as a cave-in to fan demand, but a reconfiguration of a tradition the venue had been well known for. To keep the tailgating in check, the venue came up with a new set of guidelines in in cooperation with Prince William County Police; they are: -  "All parking is on a first come, first served basis and spaces cannot be reserved or held for other cars.  Each car must occupy only one space and all tailgating activities must occur directly in front, behind or inside the car.  Due to the space challenges and safety concerns, tents will not be allowed in order to keep all pedestrian and drive isles free from obstruction.

Youth Services International Inc. of Owings Mills has lost its second senior executive in two months, as Chief Operating Officer John F. Ripley left to become president and chief executive officer of Leesburg, Va.-based Precision Tune Inc.Mr. Ripley, 38, who has worked with Youth Services Chairman James Hindman since their days at Jiffy Lube International Inc., said he will remain on the board of directors.Mr. Hindman said the two recent departures were a coincidence. The company disclosed the resignation of Chief Financial Officer Harry G. Pappas on May 2."

Jimmy Buffett's concert Saturday night at Jiffy Lube Live has been postponed over concern about Hurricane Irene, which is already making its presence felt on the Eastern Shore. The band Journey has also postponed its Sunday night concert at the same venue because of the hurricane's threat. The 9:30 Club in Washington has also moved a concert and birthday party for godfather of go-go Chuck Brown to Sunday night. The three are just the latest live music events affected by the hurricane.
