KEYW Corp., a Hanover-based defense contractor that offers cybersecurity and counterterrorism solutions to government agencies, said Monday that it will sell 6.5 million shares of stock in a new public offering to raise money to pay down debt and complete a recently announced company acquisition. The publicly traded company said last week that it intended to acquire Poole & Associates Inc., of Annapolis Junction, for $126 million in cash and stock. The company last week also announced the acquisition of Sensage Inc., of Redwood City, Calif., for nearly $35 million in cash and stock.

The University of Maryland Medical System expects to complete its acquisition of St. Joseph Medical Center Friday nearly a year after the Towson hospital sought a buyer as it looked to bounce back from the fallout of accusations that one of its doctors performing unnecessary cardiac procedures. Signs will be erected Saturday at the new entity, to be called The University of Maryland St. Joseph Medical Center. The 2,000-employee hospital suffered revenue, patient and staff losses after its star cardiologist, Dr. Mark Midei, was accused of placing stents in the arteries of hundreds of patients who may not have needed them.

HCIA Inc. concluded negotiations yesterday to acquire a California health care information company for $14.25 million in cash, part of a strategy by the Baltimore-based firm to increase its market share in the fast-growing industry of data collection for hospitals and others.HCIA's purchase of the privately held Datis Corp. is expected to close at the end of this month, after a vote by Datis shareholders. Roughly 70 percent of the San Mateo, Calif., company's shareholders have already approved the pending sale, HCIA said.

Reeds Jewelers Inc. has completed the acquisition of The Melart Jewelers Inc., a privately owned chain based in Silver Spring.The Melart chain has 19 Maryland stores, including two in Baltimore.Terms of the deal were not disclosed.The acquisition opens the door to Maryland for Reeds, a $H Wilmington, N.C.-based chain that now operates 99 stores in 12 states.Reeds, which will operate Melart as a subsidiary, said it does not intend to cut any of Melart's estimated 230 employees. The Melart name, however, is expected to be replaced by the Reeds label after the Melart stores are remodeled over the next three years.

Integrated Health Services Inc. said yesterday that it had completed its acquisition of three long-term-care facilities in Florida.With the expansion, the Hunt Valley-based company will own 28 facilities and 3,448 beds in Florida. Overall, it owns or manages 106 nursing homes.The three facilities in the latest acquisition -- in Orlando, Vero Beach and Fort Pierce -- are affiliates of Southmark Corp. of Dallas. They had combined 1992 revenue of $9.5 million.Robert N. Elkins, chairman and chief executive officer of Integrated Health, said the purchase will help the company attain dominance in the key Florida market.

USF&G Corp. completed its acquisition of Titan Holdings Inc. in a deal valued at $221 million, the company said yesterday.The Baltimore-based insurer will more than double its position in two specialty property and casualty businesses with the acquisition: insuring riskier drivers and insuring small and medium-size towns and counties.The merger was approved yesterday by Titan's shareholders, who met in San Antonio, Texas, where the company is based.Shares of USF&G stock closed at $22.125 yesterday, down 31.25 cents.

Integrated Health Services Inc. of Owings Mills said it has acquired a Florida chain of rehabilitation therapy clinics and an .. Illinois company that provides contract hospice services. Terms were not disclosed.The moves are part of IHS' continuing effort to position itself in the market to provide health care in settings that are less expensive -- and offer less intensive care -- than an ordinary hospital.One acquisition is Rehab Management Systems Inc. of Lakeland, Fla., which offers outpatient rehabilitation care at 18 hospitals, two IHS subacute care centers and seven free-standing clinics.

AAI Corp., trying to lessen its reliance on federal contracts, has made its second acquisition in six months aimed at beefing up its commercial business.The Hunt Valley-based company on Thursday acquired ACL Technologies Inc. of Santa Ana, Calif., a leader in the design and manufacture of hydraulic testing systems.ACL is now a wholly owned subsidiary known as AAI/ACL Technologies. The new unit's headquarters will remain in California, but a new president will be appointed by AAI."This is a significant opportunity for us," said Paul J.
