Black & Decker

Roger H. Thomas, officer, sold 19,022 shares of common at $35.25 each on Nov. 8, 1995, and no longer holds shares in the company.

Kathleen W. Hyle, vice president, exercised an option for 4,000 shares of common at $22.56 each on Nov. 1, 1995. To cover expenses of the transaction, Ms. Hyle turned in 667 of them for $34.25 each on Nov. 1, 1995, and sold 2,989 shares in the open market at $34.25 each on Nov. 1, 1995. She now directly and indirectly holds 1,353 common.

Gary T. Dicamillo, retired, exercised an option for 10,000 and disposed of by gift 10,000 shares of common at $20.75 each on Nov. 15, 1995. Mr. Dicamillo indirectly acquired by gift 10,000 shares of common at an unreported price that same day and now directly and indirectly holds 21,087 common.

John T. Stinson, director, exercised an option for 3,000 shares of common at $6.25 each on Nov. 7, 1995, and now directly holds 20,224 common.
